Partner Program Terms

These terms are an agreement between High Potential Group LLC, which operates Responsii (“Responsii”, “we”), and the agency, consultant or business that accepts them (“Partner”, “you”). You accept them by selecting “I accept” on your partner page. We record the version you accepted, when, and the login that accepted it.
1. What the program is
You introduce businesses to Responsii. When a business you referred subscribes, it pays Responsii directly, and we pay you a share of what it pays for as long as it stays a customer and you remain a partner in good standing.
You do not resell Responsii, bill your clients for it, or collect payment on our behalf. You may charge your clients for your own services, including work you do using Responsii’s reports; that is between you and them.
2. Joining
- Every partner is approved by Responsii. We may decline an application for any reason.
- On approval you receive a referral code and a partner page at responsii.com/partners, available when you sign in with the email address you applied from. Your referral link starts working when you accept these terms.
- One partner account per agency or person unless we agree otherwise in writing.
3. Referrals and attribution
A business is a “Referred Client” when all of the following are true:
- It clicks your referral link and then creates a Responsii account within 90 days of that click, in the same browser — or we credit it to you by hand under the next paragraph.
- It was not already a Responsii customer when it signed up.
- The account is not your own, and not one owned by you, your employees or your affiliates. Self-referral earns nothing.
Attribution works through a first-party cookie, so a signup from a different browser or device, or with cookies cleared or blocked, is not credited automatically. If you referred a business we did not credit, tell us at partners@responsii.com within 30 days of its signup, with evidence that your introduction came first (for example, a dated email). Crediting a referral by hand is at Responsii’s discretion.
Attribution is fixed at signup and is permanent. Once a business is credited to a partner, a later click on another partner’s link does not move it. If a business clicks more than one partner’s link before signing up, the most recent click before signup wins.
You may help a client set up its account, but the client must be the account owner and the billing party, using its own email address and its own payment method.
4. Commission
Your rate is set by how many of your Referred Clients have a paid, active subscription (“Paying Clients”):

- The rate that applies to a payment is the rate for your tier on the day that payment is made. Moving up a tier raises the rate on later payments; it does not recalculate earlier ones. Falling to a lower tier lowers it the same way.
- A Paying Client is one whose subscription is active, trialing, or in a payment retry. Canceled or paused subscriptions do not count.
- Commission is paid on every subscription payment a Referred Client makes to Responsii, including upgrades and add-ons such as additional locations, net of sales tax, VAT and similar taxes, discounts and credits, and refunds under section 6.
- Commission continues for the life of the Referred Client’s subscription for as long as you remain a partner in good standing. Section 10 covers what happens when the partnership ends.
- Example: at Bronze (20%), a client on the $79 plan earns you $15.80 a month and a client on the $299 plan earns $59.80. At Gold (30%) the $299 client earns $89.70.
Partners at Gold will be offered co-branded reports when that feature is available; their use will be covered by an addendum.
5. Payment
- Commission on payments a Referred Client makes during a calendar month is paid on the last day of the following month. For example, a client who signs up and pays on September 15 earns you commission paid on October 31. If that day is a weekend or US bank holiday, we pay on the next business day.
- Minimum payout: $100. If the commission due on a payout date is less than $100, it rolls forward and is added to the next payout.
- Payment is in US dollars by ACH or PayPal to an account you nominate. Your partner page shows each month’s commission as it is earned and when it will be paid.
- Before your first payout you must give us a completed IRS Form W-9 (US partners) or Form W-8BEN / W-8BEN-E (others). We issue a Form 1099 where the law requires it. You are responsible for your own taxes.
- If you believe a payout is wrong, tell us within 60 days of it. After that, the payout is final.
6. Refunds and chargebacks
If Responsii refunds all or part of a payment within one month of the date it was made, no commission is earned on the refunded amount. A refund made more than one month after a payment does not affect the commission on it. Because each payment’s commission is paid only after that month has passed, a refund never reduces a payout you have already received.
A payment reversed by a chargeback or payment dispute earns no commission, whenever the reversal happens. If that commission has already been paid, we deduct it from your next payout or payouts.
7. How you may promote Responsii
You may promote Responsii to your clients, in your own content, and in conversation. When you do:
- Disclose that you are a Responsii partner and are paid for referrals wherever you recommend Responsii publicly, as the FTC Endorsement Guides (16 CFR Part 255) and similar laws require.
- Be accurate. Responsii measures whether AI engines mention a business and recommends what to change. Do not promise results — no guaranteed mentions, rankings, placement in any AI engine, or specific rates — and do not claim Responsii is affiliated with, endorsed by, or a partner of any AI provider.
- Do not send spam. Commercial email must comply with CAN-SPAM and, where they apply, CASL, GDPR and PECR. No purchased lists and no messages that hide who you are.
- Do not bid on “Responsii”, its misspellings, or combinations of them in search or social advertising, and do not register domains or social handles containing our name.
- Your link must be clicked knowingly by a person. No hidden frames, pop-unders, automatic redirects, browser extensions, or incentivized clicks.
- Do not present yourself as Responsii, or make offers, discounts or commitments on our behalf.
Breaking this section is grounds for immediate termination under section 10.
8. Our name and materials
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Responsii name, logo and the materials we provide, only to promote Responsii under these terms and only as we supply them. Everything else remains ours. The license ends when the partnership ends.
9. Client data and confidentiality
- Your partner page shows each Referred Client’s business name as entered at signup, when it signed up, and whether it is currently paying. It does not give you access to the client’s account, audits, reports or billing. A client may share its reports with you; that is its choice.
- Anything non-public you learn about Responsii through the program is confidential. Keep it confidential during the partnership and for two years after it ends.
- We handle Referred Clients’ data under Responsii’s own privacy policy and terms of service, which govern our relationship with them.
10. Ending the partnership
- Either party may end the partnership for any reason with 30 days’ written notice. Email is enough.
- Responsii may end it immediately for a breach of section 7, for fraud or attempted fraud (including self-referral or fake accounts), or for conduct that in our reasonable judgment harms Responsii’s reputation.
When the partnership ends:
- Commission earned on payments made before the end date is paid on the normal schedule, less anything owed under section 6. The minimum payout does not apply to your final payout.
- If Responsii ends the partnership without cause, we continue to pay commission on payments your existing Referred Clients make during the 3 months after the end date.
- If you end the partnership, or Responsii ends it for cause, commission stops on the end date, and unpaid commission connected to the breach or fraud is forfeited.
11. Changes to these terms
We may change these terms, including commission rates, with 30 days’ notice by email and on your partner page. A change never applies to commission already earned. If you do not accept a change, you may end the partnership before it takes effect, and the terms in force before the change govern your final payout.
12. General
- You are an independent contractor. Nothing here creates an employment, agency, franchise or joint-venture relationship, and neither of us can bind the other.
- We do not promise that any business will sign up or stay subscribed.
- We may change or discontinue Responsii’s products, plans and prices. If we discontinue the program itself, the without-cause terms of section 10 apply.
- Except for amounts owed under sections 4 to 6 and breaches of sections 7 to 9, neither party is liable to the other for indirect, incidental or consequential damages, and Responsii’s total liability under these terms is limited to the commission paid to you in the 12 months before the claim.
- You will cover Responsii’s reasonable costs from third-party claims arising out of your promotion of Responsii in breach of section 7.
- These terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules.
- Any dispute arising out of or relating to these terms will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, in the Michigan county where High Potential Group LLC has its principal office. Disputes are resolved individually, not as a class or representative action. Either party may bring an individual claim in small-claims court, and either party may ask a court for an injunction to stop a breach of sections 7, 8 or 9. Judgment on the award may be entered in any court with jurisdiction.
- These terms are the whole agreement about the program and replace anything said before. If any part is unenforceable, the rest still applies.
