Agency Terms

These Agency Terms are an agreement between High Potential Group LLC, which operates Responsii (“Responsii”, “we”), and the marketing agency, consultant or business that accepts them (“Agency”, “you”). They add to Responsii’s Terms of Service, which also apply to you; where the two differ on agency accounts, these terms control. You accept them by selecting “I accept” on your agency page. We record the version you accepted, when, and the login that accepted it.

1. What an agency account is

An agency account lets you run Responsii for several of your clients from one login and pay for all of them on one monthly invoice. Each client you add is its own Responsii account — its own reports, recommendations, drafts and history — which you manage and pay for.

Agency accounts are approved by Responsii. We may decline or end an approval for any reason; if we end it, section 10 applies.

2. Your authority to act for your clients

For every client you add, you confirm that:

  • the client has authorized you to create a Responsii account for it, to give us its business details, and to have us measure how AI engines describe it;
  • you are authorized to act on the client’s behalf in Responsii, including publishing content Responsii drafts for it, and you will review that content before it is published;
  • the client is a business located in the United States, as the Terms of Service require;
  • you have told the client that its details are processed by Responsii and its providers as our Privacy Policy describes.

You are responsible for how you and anyone using your login use each client’s account. You will cover Responsii’s reasonable costs from claims by a client, or about a client, arising from your breach of this section.

3. Pricing and discount

Each client is on its own plan — currently Visibility ($79/month), Coaching ($149/month), Authorship ($299/month) — plus $15/month for each additional location. You pay our list price for every client, less a discount set by how many of your clients have a paid plan:

  • The discount applies to your whole invoice. When a change moves you into a different band, the new discount applies from your next monthly invoice; the charge for the change itself uses the discount in effect when you make it.
  • Your first client starts at the lowest band’s discount.
  • Referral commission is never paid on a client you manage and pay for. If you are also a Responsii referral partner, your partner terms still apply to businesses that subscribe and pay Responsii directly through your link.
  • We may change list prices or the discount bands with at least 30 days’ notice by email; a change applies from your next invoice after the notice period.

4. Billing

  • You are billed monthly in advance, in US dollars, on one subscription covering every client. It renews automatically until canceled. Prices exclude taxes, which we add where the law requires.
  • Adding a client, changing a client’s plan or locations, or removing a client takes effect immediately. We show you the prorated charge or credit before you confirm, and charge or credit your card on file at that moment.
  • A client’s plan starts only once its charge succeeds; we do not run audits for an unpaid client.
  • Removing a client credits the unused part of its month to your account balance, applied to later invoices. As the Terms of Service say, fees are otherwise non-refundable.
  • If a payment fails, we retry it and your clients keep their access meanwhile. If it cannot be collected, your subscription and every client plan on it end.

5. How you may present Responsii

  • You may show your clients their Responsii reports and use them in your own work, and charge your clients whatever you choose for your services.
  • You may not present Responsii’s reports or software as your own product, remove Responsii’s name from them, or resell access to Responsii to anyone other than the clients you manage in your agency account. Co-branded reports, when available, will be offered under a separate addendum.
  • You may not promise clients specific results from Responsii or from AI engines, as the Terms of Service describe.

6. Logins and access

Your agency login has access to every client account you manage. Keep it secure and do not share it outside your organization. Tell us promptly at hello@responsii.com if you suspect unauthorized access.

7. Client data, and when a client leaves

  • Each client’s account and history — its audits, reports, recommendations and drafts — are kept for that client. You have access to them while you manage the client.
  • When you remove a client, or stop managing it for any reason, its plan ends and its account and history are kept. Responsii may offer the client its own access to that account, on its own plan, and may transfer the account to the client at the client’s request; your access to it ends when it is transferred.
  • You will not delete or withhold a client’s data to prevent it from taking over its account. If a client asks us to delete its data, we will, as our Privacy Policy describes.

8. Support

You are your clients’ first point of contact for Responsii. We support you, the agency, at hello@responsii.com; if a client contacts us directly about an account you manage, we may refer it to you.

9. Confidentiality

Keep each client’s reports and data confidential to that client and your work for it, and do not use one client’s data for another client. Anything non-public you learn about Responsii through the agency program is confidential during the program and for two years after.

10. Ending the agency account

  • You can cancel your agency subscription at any time from your billing settings. It ends at the end of the month you have paid for, and every client plan on it ends with it.
  • We may end your agency account with 30 days’ notice, or immediately for a material breach of these terms or the Terms of Service, including section 2.
  • When the agency account ends, section 7 applies to every client you managed.

11. Changes and general terms

We may change these terms with at least 30 days’ notice by email and on your agency page. The Terms of Service govern everything these terms do not, including disclaimers, limitation of liability, and governing law and dispute resolution (Michigan law and AAA arbitration).
